Restaurant Service Agreement

Parties Involved: This agreement ("Agreement") is made between BapuTalk ("Service Provider") and the Restaurant ("Client") subscribing to our digital dining services.
1. Scope of Services
BapuTalk provides digital menu services through QR codes, allowing restaurants to manage their menus online. The services include:
- QR Code Menu Generation
- Customizable Menu Management
- Online Order Processing (if applicable)
- Data Insights & Analytics
- Branding & Advertisement Features (if included in the plan)
2. Subscription and Payment Terms
- The Restaurant agrees to subscribe to a selected service plan.
- Fees are payable on a **monthly, annual, or lifetime basis** as per the chosen plan.
- All payments must be made via approved payment gateways.
- Failure to make timely payments may result in suspension or termination of services.
3. Term and Termination
This agreement shall remain in effect unless terminated by either party under the following conditions:
- By the Restaurant: The restaurant may cancel the subscription at any time. However, fees already paid are non-refundable.
- By BapuTalk: We reserve the right to suspend or terminate accounts violating our policies, including:
- Non-payment of dues
- Violation of content guidelines
- Illegal or fraudulent activity
- Either party may terminate this agreement with a **30-day prior written notice**.
4. Content and Menu Responsibility
- The Restaurant is responsible for maintaining the accuracy of menu content, pricing, and availability.
- Restaurants must ensure that their menu complies with food safety and legal regulations.
- BapuTalk is not liable for any incorrect or misleading menu information.
5. Branding and Advertising
The following branding rules apply:
- Restaurants using free or basic plans may have BapuTalk branding on QR menus.
- Paid plans may include branding removal options.
- BapuTalk may promote partner restaurants on its platform or social media.
6. Data Privacy and Security
BapuTalk commits to safeguarding restaurant and customer data. We will:
- Not sell or share restaurant data without consent.
- Use encryption and secure storage to protect sensitive information.
- Allow restaurants to access and manage their data in accordance with privacy laws.
7. Liability and Indemnification
- BapuTalk shall not be liable for any **loss, damages, or business interruptions** resulting from service downtime, menu errors, or restaurant operations.
- The Restaurant agrees to indemnify and hold BapuTalk harmless against legal claims arising from food safety violations, false advertising, or customer disputes.
8. Force Majeure
Neither party shall be held liable for failure to perform due to events beyond their control, including but not limited to natural disasters, cyber-attacks, government restrictions, or technical failures.
9. Governing Law and Dispute Resolution
- This agreement shall be governed by the laws of **India**.
- Disputes shall be resolved through arbitration in **Rajasthan, India**.
- If arbitration fails, disputes shall be settled in the courts of Rajasthan, India.
10. Amendments and Modifications
BapuTalk reserves the right to modify this agreement. Restaurants will be notified of significant changes via email or dashboard alerts.
11. Agreement Acceptance
By subscribing to BapuTalk services, the Restaurant agrees to these terms and conditions.
